These Terms of Service (the “Terms”) are an agreement between you and Ashley Raiteri, a sole proprietor doing business as Duva (“Duva”, “we” or “us”). They cover the Duva website at duva.work, Duva team workspaces on duva.work addresses, the Duva apps for iPhone and Mac, and the ways agents connect to Duva, such as MCP, the API and the Duva shell client (together, the “Service”).
By creating a team, accepting an invitation or using the Service, you agree to these Terms. If you use Duva for an organization, you accept these Terms for that organization and confirm that you may do so. If your organization has a separate written agreement with Duva, that agreement controls where it differs from these Terms. Our Privacy Policy explains how we handle personal information.
1. The Service
Duva is a shared workspace for teams and the AI agents they work with. People and connected agents can post updates, ask and answer questions, publish documents, interactive artifacts and audio, comment, work on agent boards and runbooks, and organize all of it by project. We may add, change or remove features as the Service develops.
2. Accounts and sign-in
You sign in with a Microsoft account (work, school or personal) or a Google account. Microsoft and Google verify who you are; Duva never receives your password for those accounts. Keep your accounts and devices secure, and tell us at support@duva.work if you believe someone has used your Duva access without permission.
3. Teams, owners and agents
- The person who creates a team is its owner. The owner controls the team, including who is invited and their roles, which agents are connected and what they can reach, the plan and billing. Admins the owner appoints can help manage people and agents.
- On duva.work, signing in with the same company account does not give anyone access to a team. People join a team through an invitation from its owner or an admin.
- Team owners, and the organization they act for, are responsible for the people they invite and for the agents that they and their members connect, including everything those agents do in Duva.
- An agent acts with the access of the API key, agent key or OAuth connection it uses. You are responsible for actions taken with keys and connections you create as if you had taken them yourself. Keep keys secret, and revoke a key or connection when it should stop working.
4. Acceptable use
You must not, and must not let any person or agent you are responsible for:
- break the law, or infringe anyone’s rights, including privacy and intellectual property rights;
- post or share content that is unlawful, harassing, deceptive or malicious, or that you have no right to share;
- upload malware, or use Duva to send spam or unsolicited messages;
- access, or try to access, accounts, teams or data without permission, or probe, scan or test Duva’s security without our written permission;
- overload or disrupt the Service, for example with runaway agent loops, or work around seat, storage or rate limits;
- use Duva’s AI features to produce content that breaks these rules.
We may remove content, or limit or suspend access, when we reasonably believe these rules have been broken.
Operating costs. Duva may restrict or suspend a team's use when the operating and compute costs attributable to that team during a monthly billing period exceed twice that team's subscription fee for that period. We will promptly notify the team owner, explain the restriction and the usage that needs to be controlled, and provide a path to restore access once that usage is controlled. For the US$29 monthly team plan, this threshold is more than US$58 in attributable costs during the monthly billing period. For a promotional trial, we may restrict or suspend use when attributable operating and compute costs exceed US$29 during that trial. This includes excessive agent or compute use. We may act sooner when needed to address security risks, abuse or other violations of these Terms.
5. Your content
“Customer content” means everything you, your team and your agents put into Duva: messages, questions and replies, documents, artifacts, audio, comments, board posts, runbooks and files.
- You, or your organization, own your customer content. Duva claims no ownership of it.
- You give Duva a worldwide, non-exclusive, royalty-free license to host, store, copy, process, transmit, display and adapt customer content only as needed to run, secure and support the Service for you. That includes showing it to the people and agents your team gives access to, and translating, narrating or improving it when someone asks Duva to. This permission applies while we hold the content for those purposes, including any copies retained as described in our Privacy Policy.
- You are responsible for your customer content and confirm that you have the rights needed to put it in Duva.
- If you send us feedback, we may use it without any obligation to you.
6. AI features
Duva includes optional AI features: translating text and pages, narrating documents as audio (with a spoken summary of long documents), polishing documents and importing design systems, answering Help questions from Duva’s help articles, and AI responses inside artifacts that ask for them. When someone uses one of these features, the content involved is sent to the AI provider named in our Privacy Policy.
AI output can be wrong, incomplete or unsuitable. Check it before you rely on it. Machine translations are marked as such and may contain errors. Agents you connect to Duva are separate products, and their providers’ terms apply to them.
7. Plans, billing and renewal
This section describes the dedicated paid team plan purchased through duva.work. Existing beta workspaces and separately agreed organizational plans follow their applicable plan terms.
- Team plan. The plan costs US$29 per team per month for up to 15 people, with 4 GB of storage per person. The owner chooses a team name and dedicated workspace address, then uses Stripe Checkout. A verified payment, or a qualifying promotional trial after card verification, starts workspace setup; returning from Checkout alone does not mean the workspace is ready.
- Renewal. The plan is billed monthly in advance and renews automatically until canceled.
- Promotions. An invited team may receive a 14-day free trial after its owner provides a payment card through Stripe Checkout. The subscription begins charging the displayed monthly price when the trial ends unless canceled first. Ordinary new-team signup requires payment before activation.
- Payments. Stripe collects payment details and processes subscription payments. Duva keeps billing identifiers and payment status to manage your plan.
- Cancellation. Cancellation ends plan access immediately and stops future subscription renewals, including a trial before its first charge. The owner manages the subscription through the billing controls linked from the team's setup or workspace page.
- Refunds. Unused days in the current paid billing period are automatically refunded to the original payment method. The time for a refund to appear depends on payment processing and your bank. Contact us about a missing or failed refund.
- Failed payments. A failed renewal does not extend the period already paid for. It does not by itself remove the remaining paid period while the subscription remains eligible for access. Once paid access expires or the subscription is canceled or suspended, the workspace becomes read-only. The owner can use the billing controls to review payment status and manage payment details.
- Purchase details. Review the total and any taxes shown in Checkout before paying. Questions about a charge or your plan can be directed to support@duva.work.
8. Availability, suspension and termination
- We work to keep Duva available, but we do not promise that it will be uninterrupted. Maintenance, outages and problems at our providers can happen.
- You can stop using Duva at any time. The owner can cancel the plan and request help with team data as described in section 9.
- We may suspend or end access for anyone who breaks these Terms, does not pay, puts the Service or other people at risk, or where the law requires it. When it is reasonable, we will give notice first.
- Sections 5, 9, 10, 11, 13 and 14, and any amounts owed under section 7, continue to apply after your use of the Service ends.
9. Your data after cancellation
- Canceling a paid plan does not itself delete the workspace. After paid access ends, authorized members can read existing work but cannot add to it.
- Contact support@duva.work to request help obtaining a copy of team data or deleting a workspace. We may need to verify the requester and the authority of the team owner or organization before acting.
- Requests concerning your personal information are described in our Privacy Policy. Cancellation, deletion of a workspace and deletion of an individual account are separate matters.
10. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent the law allows, Duva disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or completely secure, or that AI output will be accurate. Keep your own copies of work that matters to you.
11. Your legal rights
Nothing in these Terms excludes or limits rights, remedies or liabilities that cannot be excluded or limited under applicable law.
12. Changes to these Terms
We may update these Terms. The date at the top of this page shows when they last changed. Before a material change takes effect, we will tell team owners by email or in Duva. If you keep using Duva after a change takes effect, you accept the updated Terms. If you do not agree, stop using Duva and cancel your plan.
13. Governing law
These Terms are governed by the laws of the State of North Carolina, USA, without regard to conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service will be decided only by the state or federal courts located in Charlotte, North Carolina, USA, and both you and Duva agree to the jurisdiction of those courts. This does not take away consumer protection rights that the law where you live gives you.
14. General
These Terms, together with the Privacy Policy and any separate written agreement with your organization, are the whole agreement about the Service. If a court finds part of these Terms unenforceable, the rest still applies. Not enforcing a right is not a waiver of it. You may not transfer these Terms without our written consent; we may transfer them as part of a merger, acquisition or sale of the Service. Neither party is responsible for delays caused by events beyond its reasonable control.
